These Terms of Use ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Edge Strike Design Ltd. ("Edge Strike Design," "we," "us," or "our"), a corporation registered in the Province of Alberta, Canada. By accessing our website at www.edgestrike.ca, requesting a discovery call, executing a service agreement, or making payment for any of our Services, you agree to be bound by these Terms.
These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the applicable laws of Canada, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Alberta.
Edge Strike Design Ltd. provides the following services (collectively, "Services"):
Custom website design and development
Website hosting and maintenance
Social media management and content creation
Digital marketing strategy and execution
Sales funnel and e-commerce setup
Email marketing configuration and management
CRM and booking system setup
Branding and graphic design
The specific scope of Services, deliverables, and timelines for each engagement are set out in a separate written Proposal, Statement of Work, or Service Agreement provided to you prior to commencement of work. In the event of any conflict between these Terms and a signed Service Agreement, the Service Agreement shall govern.
All fees for Services are quoted in Canadian dollars (CAD) unless otherwise stated in writing. Pricing is provided in advance through a written proposal or invoice. Edge Strike Design Ltd. reserves the right to adjust pricing for new or renewed engagements with reasonable notice.
Monthly retainer and subscription-based Services are billed on a recurring basis as set out in the applicable Service Agreement. Fees for additional work outside the agreed scope will be quoted separately prior to commencement.
Unless otherwise specified in a written Proposal or Service Agreement, the following default payment structure applies:
Project-Based Work: A non-refundable deposit of 50% of the total project fee is due prior to commencement of work. The remaining balance is due upon project completion and prior to the transfer, launch, or delivery of final files or website access.
Milestone-Based Projects: For larger engagements, payment may be structured in milestones as defined in the applicable Statement of Work. Each milestone payment is due upon achievement of that milestone and prior to proceeding to the next phase.
Monthly Retainer / Subscription Services: Full monthly fees are due on the first business day of each billing period, or as otherwise set out in the Service Agreement.
Edge Strike Design Ltd. accepts the following payment methods:
Credit card (Visa, Mastercard, American Express) processed through QuickBooks Online Payments
ACH bank transfer (Canada only)
Interac e-transfer (Canada only)
Invoices are issued electronically via QuickBooks Online to the email address on file. Payment is due upon receipt of invoice, unless otherwise agreed in writing. It is the Client's responsibility to ensure invoices are received and processed in a timely manner.
Invoices not paid within the due date are subject to a late payment fee of 5% per month (60% per annum) compounded monthly on the outstanding balance, calculated from the due date. Edge Strike Design Ltd. reserves the right to suspend active Services, withhold project deliverables, or restrict access to hosted assets until all outstanding amounts are paid in full.
If you believe an invoice contains an error, you must notify us in writing within five (5) business days of the invoice date. Undisputed portions of any invoice remain due and payable by the original due date. Failure to dispute an invoice within this period constitutes acceptance of the invoice as presented.
By providing your credit card information to Edge Strike Design Ltd. through QuickBooks Online Payments, you authorize Edge Strike Design Ltd. to charge your credit card for:
The amounts set out in invoices issued to you in connection with Services rendered
Any approved additional charges or scope changes agreed to in writing
Recurring monthly fees for retainer or subscription-based Services, as set out in your Service Agreement
For ongoing, retainer, or subscription-based client relationships, Edge Strike Design Ltd. requires that a valid credit card be maintained on file. Your credit card information is securely stored within QuickBooks Online Payments' PCI-DSS-compliant vault. Edge Strike Design Ltd. does not store full card numbers on its own systems.
By agreeing to these Terms and providing your credit card details, you authorize Edge Strike Design Ltd. to:
Charge your card on file for invoices issued under an active Service Agreement, upon invoice due date if payment has not been received by other means
Retain your card on file for the duration of the client relationship and for a period of 90 days following the conclusion of all active Services
You may update your card on file at any time by contacting us at [email protected]. It is your responsibility to ensure a valid payment method is maintained for the duration of any active Service Agreement. Failure to maintain a valid credit card on file constitutes a direct violation of this Service Agreement and may result in the immediate suspension of Services without notice until a valid payment method is provided.
All deposits and payments made to Edge Strike Design Ltd. are non-refundable once work has commenced on a project or Service. This includes, without limitation, the initial deposit, milestone payments received, and monthly retainer fees.
"Commencement of work" is defined as any of the following: initiation of discovery or strategy sessions, creation of design concepts or mockups, configuration of platforms or accounts, purchase of third-party tools, software, or licenses on your behalf, or any substantive action taken by Edge Strike Design Ltd. in furtherance of the agreed Services.
If you wish to cancel a project or Service engagement, you must notify Edge Strike Design Ltd. in writing. For subscription or retainer-based Services, written notice must be received a minimum of 30 days prior to the following month's renewal date. Failure to provide 30 days' written notice will result in a termination fee equal to one month's Service fees, which will be processed immediately and without further notice, prior to the requested Service cancellation date. Upon receipt of cancellation notice:
Any unpaid balance for work completed up to the date of cancellation remains due and payable
Deposits paid prior to commencement are non-refundable
Any third-party costs or software licenses procured on your behalf are non-refundable and remain your responsibility
Edge Strike Design Ltd. reserves the right to terminate a project or Service engagement in the event of: material breach of these Terms by the Client; failure to provide timely feedback, approvals, or required materials that prevent the project from progressing; non-payment of invoices; or any conduct that Edge Strike Design Ltd. reasonably determines to be abusive, unlawful, or contrary to its values.
In the event of company-initiated termination for cause, fees for work completed to the date of termination remain payable. Deposits will not be refunded.
Cancellation of a monthly retainer or subscription service(s) requires a minimum of 30 days' written notice sent to [email protected] prior to the next billing cycle. Fees for the current billing cycle are non-refundable upon cancellation. If 30 days' written notice is not received, a termination fee totalling one month's Service costs will apply.
To enable Edge Strike Design Ltd. to deliver the Services effectively, you agree to:
Provide accurate, complete, and timely information, materials, and approvals as reasonably requested
Ensure that all content, images, logos, and materials you provide are owned by you or that you hold all necessary licences and rights to use and publish such materials
Respond to requests for feedback or approvals within a reasonable timeframe (generally 5 business days, unless otherwise agreed)
Maintain a valid payment method on file for the duration of active Services
Delays caused by the Client's failure to provide required materials, approvals, or feedback may result in revised timelines and may be subject to additional fees.
All content, logos, trademarks, copy, and materials provided by you remain your property. You grant Edge Strike Design Ltd. a limited, non-exclusive license to use such materials solely for the purpose of delivering the agreed Services.
Upon receipt of full and final payment for a project, ownership of the final custom design deliverables created specifically for you transfers to you. Edge Strike Design Ltd. retains all rights to pre-existing tools, frameworks, templates, code libraries, processes, and know-how used in the delivery of Services.
Unless you request otherwise in writing prior to project launch, Edge Strike Design Ltd. reserves the right to display completed projects in its portfolio, marketing materials, and social media for promotional purposes.
The Client represents and warrants that all images, graphics, logos, trademarks, and other visual content supplied to Edge Strike Design are owned by the Client or that the Client has obtained all necessary licenses, permissions, rights, and authorizations required for their use. The Client further warrants that any materials provided do not infringe upon the intellectual property rights, copyrights, trademarks, or other proprietary rights of any third party.
Where Edge Strike Design obtains and incorporates stock photography, graphics, or other visual assets into a project, such assets shall be licensed in accordance with the terms and conditions of the applicable stock image provider at the time of acquisition. Edge Strike Design makes no representations or warranties beyond the scope of those licenses.
The Client acknowledges and agrees that Edge Strike Design shall not be liable for any claims, damages, losses, legal actions, costs, or expenses arising from the use of any images, graphics, logos, trademarks, or other visual materials provided by the Client or used in accordance with a valid third-party license. The Client agrees to indemnify, defend, and hold harmless Edge Strike Design, its owners, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, costs, and expenses (including reasonable legal fees) resulting from allegations of copyright infringement, trademark infringement, or other intellectual property violations relating to such materials.
Edge Strike Design Ltd. utilizes third-party platforms to deliver Services, including but not limited to Wix Studio, QuickBooks Online, Meta Business Suite, and email service providers. Your use of deliverables hosted on or integrated with third-party platforms is subject to those platforms' respective terms of service and privacy policies. Edge Strike Design Ltd. is not responsible for changes to third-party platform features, pricing, or terms.
To the maximum extent permitted by applicable Alberta law, Edge Strike Design Ltd.'s total liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you to Edge Strike Design Ltd. in the three (3) months immediately preceding the event giving rise to the claim.
In no event shall Edge Strike Design Ltd. be liable for any indirect, incidental, consequential, special, or exemplary damages, including but not limited to loss of revenue, loss of profits, loss of data, loss of business opportunity, or reputational harm, even if advised of the possibility of such damages.
You agree to indemnify, defend, and hold harmless Edge Strike Design Ltd., its directors, officers, employees, and contractors from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from: your use of the Services; your breach of these Terms; any content or materials you provide that infringe a third party's intellectual property or other rights; or your violation of any applicable law or regulation.
Each party agrees to hold the other party's confidential information in strict confidence and not to disclose it to any third party without prior written consent, except as required by law. "Confidential information" includes, without limitation, business strategies, pricing, client data, proprietary processes, and project briefs. This obligation survives termination of the business relationship.
Edge Strike Design Ltd. reserves the right to update or modify these Terms at any time. Changes will be posted to our website with an updated effective date. Your continued use of our Services following such changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
If any provision of these Terms is found to be invalid or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.
These Terms, together with any applicable Service Agreement, Statement of Work, or Proposal, constitute the entire agreement between you and Edge Strike Design Ltd. with respect to the subject matter herein, and supersede all prior discussions, representations, or agreements, whether written or oral.
